Website Terms and Conditions

These terms and conditions (“Terms”) govern your participation in and use of services including but not limited to any app, website or web pages or other electronic services operated by Givetree Limited, trading as GiveMatch (“we”, “us” or “GiveMatch”) for the provision of services and any offline consulting or other services provided to you (the “Services”). 

Please read these terms carefully as they affect your rights and obligations under the law. Please note that if you have entered into a separate legal contract with us (a “Services Agreement”), and there is any direct conflict between a clause in the Services Agreement and a clause in these Terms governing the same principles, the clause in the Services Agreement will take precedence. Where these Terms include clauses or address topics not covered by the Services Agreement, these Terms will validly exist alongside and be enforceable in addition to the terms of the Services Agreement.

Use of our Services and registration is open to any user over the age of 16 years old.

If you do not agree to these Terms in full, please do not register with us or use the Services. Please note that these Terms may be amended from time to time. Notification of any changes will be made by posting new terms publicly within the Services. In continuing to use the Services you confirm that you accept the then current Terms in full at the time you use the Services.

PART 1 - USER SERVICES

Part 1 of these Terms apply to any individual or organisation making a donation using the Services (“you” or a “donor”).

Donations

Givematch provides a service for individuals or organisations to donate to a charity of their choice. If you have set up an automated donation on any of our services, you can manage and cancel your scheduled donations by logging into your ‘My Profile’ dashboard.

Please note that we incur administrative fees, including third-party payment processing fees. When making a donation, you have the option to cover these fees on behalf of the charity. If you choose not to, the fees will be deducted from your donation amount before being passed on to the charity. We do not take any other fees from your donation. Additionally, you may choose to give us an optional tip at the time of your donation, which we will collect and retain. We may also receive separate fees and commissions from the organisations we partner with as part of providing our services.

We do not covenant, represent or warrant that any money you donate will be used by the charity for any particular appeal, cause or purpose. We are not responsible or liable for the organisation who receives your donations and while we undertake due diligence in relation to the charities and organisations we list we do not guarantee or warrant that their charitable purposes and conduct will be suitable for you and we recommend that you consider the relevant charities and organisations carefully before setting up a donation.

The charity or organisation to which you donate is responsible and in control of how your donation is used and they have sole discretion as to how they use the funds donated. Any concerns or issues you may have with how such donations may have been used or not used by the organisation you have donated to must only be raised directly with the recipient charity. Where we consider it appropriate, we may release your donation to your charity in tranches, so as to ensure each tranche is used as intended, and release the funding as agreed milestones are achieved. Where we deem a charity has been fraudulent, or has been unable to produce feedback on how your donations have been used, you agree that we may withhold any further tranches of your donation from that charity, and we may direct it to a charity that is in the same area of interest, yet has a better track record of transparency and impact. If your funds are redirected, we will attempt to inform you via email.

Payment Terms

We will process your donation via your chosen payment method. We use a third party payment processor in order to facilitate payments to your chosen recipient. Your donation will be received by The Givematch Fund, a restricted fund operating under our Donor Advised Fund (DAF) partner, which is a registered charity in your local region. All tax receipts are issued from The Givematch Fund, operating at our DAF partner in your country.

Once you have donated and the payment has been processed GiveMatch does not provide refunds. Any refund will be made by and at the discretion of the recipient charity or other organisation but you should assume that refunds will not be granted.

If you are asked to confirm if you want us to submit a claim for Gift Aid on behalf of your chosen recipient charity or other organisation, you are solely responsible for confirming that you and/or your donation meet the criteria to submit such a claim for Gift Aid and you agree that you will complete any required declarations truthfully and fully.

Matching

For the purposes of this section, the following definitions apply:

Original Donor” means a person making a donation to the Charity independent of any third-party introduction.

Original Donation” means the sum donated to the Charity through GM.

Match Funding” means a donation made by GM to the Charity, in an amount equal to the Original Donation, the funds for which are sourced from the Match Pot.

Match Limit: means the maximum amount of Match Funding available to that particular Charity, in accordance with the selected subscription model.

Match Pot” means a designated pool of funds donated to GM by donors with the express provision that GM can allocate them to any Charity at GM's discretion.

Referred Donors” means persons making a donation to the Charity via the Original Donor’s personalised referral link, subject to the conditions listed below.

Match Funding will be available to the Charity in accordance with the following steps:

  1. an Original Donor makes an Original Donation;
  2. the Original Donor subsequently introduces to GM at least 2 Referred Donors who donate to the Charity via the Original Donor’s personalised referral link; and
  3. subject to the Conditions, GM provides Match Funding to the Charity.

Match Funding is subject to the following conditions:

  1. the Original Donor is not a trustee of the Charity;
  2. the Original Donor introduces at least two Referred Donors to GM, each of whom are separate to the Original Donor, each other, and the Charity (and specifically excluding any trustee of the Charity);
  3. no more than 1 of the Original Donor and the 2 Referred Donors are employees or representatives of, or advisors to, the Charity, such that at least 2 of the persons involved in each Match Funding transaction are independent third-party donors; and 
  4. no donor has used, or attempted to use, any other method or means of donating which has the intention or the consequence (whether intended or not) of obtaining Match Funding contrary to the intention of this Agreement, namely that the Match Funding is given in consideration for the introduction of new donors who are distinct and separate from both the Charity and the Original Donor and therefore broaden GM’s brand awareness and reach, together, the “Conditions”.

If the above conditions are met:

  1. GiveMatch will allocate an additional donation, in the amount of the Original Donation to the charity, from the Match Pot, up to the Match Limit.
  2. The Matching amount will be transferred by the DAF Partner to the Charity’s nominated bank account, no later than 90 days from the date of the second New Donor making their donation.
  3. Once the Match Limit has been hit, no further Match Funding will be transferred to the charity, irrespective of whether otherwise qualifying donations occur.

If any of the Conditions are not met:

  1. no Match Funding will be provided by GM;
  2. the Original Donation and the Referred Donors’ donations will be excluded from all other additional funding opportunities including leaderboards, prize monies, or other benefits linked to specific donation levels; 
  3. if any breach of the Conditions involves a trustee, employee or someone deemed by GM to be a representative of the Charity, GM reserves the right to suspend or withdraw the Charity’s access to the GM Services; and
  4. the donations will be transferred to the Match Pot.

The Charity undertakes that all donations made by employees, representatives or other individuals connected to the Charity will be genuine donations, and will not in any way be repaid or reimbursed by the Charity once Match Funding has been secured.

PART 2 - SERVICES FOR CHARITIES

Part 2 of these Terms apply to any charity receiving a donation using the Services, whether or not registered with GiveMatch prior to such event (“you” or the “Charity”).

Services

GiveMatch may offer any or all of the following services:

GiveMatch Marketing Services: The advertising, marketing and promotion of the GiveMatch Website and the advertising, marketing and promotion of the Charity’s involvement in the GiveMatch Website in order to generate donations on behalf of the Charity;

GiveMatch Website Services: GiveMatch will onboard the Charity as one of our registered partner charities and then place the Charity’s logo on the homepage. The Charity may be eligible for donation matching, subject to the terms below, and to take part in GiveMatch’s competitions which may include a daily leaderboard where the top 10 charities will be awarded prizes based on (i) most donations raised; (ii) most donations matched; and (iii) most individual donors, in a specific period. For the avoidance of doubt, the existence of and terms associated with such competitions are entirely at the discretion of GiveMatch and can be amended or withdrawn at any time.

GiveMatch Donation Services: The collection of donations, via the DAF Partner, the ring-fenced storage of those donations in the DAF Partner’s bank account, and the transmission of such donation amounts to bank account nominated by the Charity from time to time in writing.

As more specifically detailed in the Services Agreement between GiveMatch and the Charity, and together referred to as the GM Services.

Matching

A donation made to the Charity may be doubled, subject to the donor conditions listed above and in addition, you as the Charity, acknowledge and agree that, to be eligible for matching, A DONOR MUST NOT BE A TRUSTEE OF THE CHARITY OR A FAMILY MEMBER AND YOU WILL ENSURE THAT ALL INDIVIDUALS AND ORGANISATIONS ASSOCIATED WITH YOU ARE MADE AWARE OF THIS LIMITATION, AND WILL NOT DO OR OMIT TO DO ANYTHING WHICH COULD ENCOURAGE, SOLICIT OR FACILITATE THE ABUSE OF THE SERVICES BY ANY PERSON CONNECTED TO YOU, WHETHER FOR THEIR INDIVIDUAL GAIN OR THE BENEFIT OF THE CHARITY ITSELF.

If the above condition is breached:

  • no matching will occur, and no match funding will be provided to you;
  • the original donation and the introduced donations will not be counted for the purposes of any other opportunities to obtain additional funding including but not limited to any leaderboards, prize monies, or other benefits you may otherwise have obtained as a result of hitting specific donation figures; 
  • GiveMatch reserves the right to withdraw the Charity’s membership and suspend your access to the Services; and
  • the donations themselves will be invalid and will be (i) returned to the respective donors if reasonably practicable and there is no cause to suspect illegal activity, including money laundering; or (ii) if the donor cannot be contacted or their details cannot be verified within 30 days of the donation being made, or if there is any suspicion of illegal activity, you waive any and all rights in relation to such funds and expressly agree that GiveMatch is entitled to transfer those donations to the match pot to be allocated to alternative charities as deemed appropriate.

Please note that Matching will only be provided up to the Match Limit, once the Match Limit has been hit, no further Match Funding will be transferred to the charity, irrespective of whether otherwise qualifying donations occur.

Charity’s Obligations

You agree to:

  • use all reasonable endeavours to ensure that all content supplied to GiveMatch for display on the GiveMatch site or apps will not violate any applicable law or any right of or duty owed to a third party;
  • comply at all times with all applicable laws, regulations and industry guidelines, including but not limited to the Charities Act 2022, the Charities (Protection and Social Investment) Act 2016, the Data Protection Act 2018  and and guidance issued by the Charity Commission and Fundraising Regulator, in each case as amended from time to time (the “Applicable Laws”); 
  • maintain the necessary licences and consents to (i) operate as a charity; and (ii) fundraise in accordance with Applicable Laws; 
  • ensure all campaign or project information provided to GiveMatch is accurate and not misleading and that any funds donated via GiveMatch for a specific campaign or purpose are treated as Restricted Funds in accordance with the Charities Act 2022 and the details given to donors during the fundraising process;
  • promptly provide any information reasonably requested by GiveMatch in order for GiveMatch to be able to provide the Services effectively;
  • inform GiveMatch as soon as reasonably practicable if, for any reason, it: (i) ceases, or is likely to have to cease, operating as a charity or for charitable purposes; (ii) is found to be engaged in any corrupt or immoral practices; (iii) operates in any parts of the world under sanction by the UK, Canadian or US governments.

Eligibility

The Charity’s right to receive donations including Match Funding is conditional on the following:

  1. the Charity passes the initial due diligence process;
  2. the Charity continuing to operate at all times in full compliance with all applicable laws;
  3. the Charity operating in accordance with the Services Agreement and these website Terms of Use;
  4. the Charity not (i) making; or (ii) failing to prevent multiple donations being made to it by its trustees, employees or other connected parties in order to dishonestly obtain Match Funding, as assessed by GM, acting reasonably.

If the Charity is deemed to be in breach of this clause at any time, any donations made to it will be redirected to the Match Pot and made available to other Charities.

Due Diligence

The initial due diligence process will operate as follows:

  1. the Charity will submit an application;
  2. GM will review the application and any publicly available information relating to the Charity;
  3. GM will accept or may reject the application for any reasonable reason in its sole discretion;
  4. GM will notify the Charity of the outcome if its application;
  5. if accepted, the Charity will be eligible to receive donations via GM.

Please note that GM may begin providing the GM Services prior to completion of the Due Diligence process, but any donations received on behalf of the Charity will be  redirected to the Match Pot and made available to other Charities if due diligence is not passed.

PART 3 - USE OF THE PLATFORM

Part 3 of these Terms applies to any individual or organisation using GiveMatch’s website or any related mobile app (together the “Platform”) in any way, including individual donors, corporate donors, charities, and any other person using GiveMatch’s website(s), apps or other services  (“you”).

Registration & Subscription

Use of the Platform may require registration. We may allow access to some Services without registration but we reserve the right to withdraw access without registration at any time.

We are not obliged to register anyone to use the Platform and we reserve the right to refuse registration to anyone for any reason.

We reserve the right to add or remove services and functionality from any registration type or to add or remove registration types.

We may introduce or offer subscription services, if so then we reserve the right to change the subscription services or subscription periods. When we change our subscription types or subscription periods you will be entitled to keep your existing subscription until the end of your then-current subscription period and at the end of that period you will be required to subscribe on the new basis.

If you have subscribed for a subscription service, then your subscription will last for the agreed subscription period. Unless you expressly request otherwise we will send you an email towards the end of your subscription inviting you to re-subscribe and unless you opt not to re-subscribe we will be entitled to charge your debit or credit card with the subscription fees for the next subscription period.

From time to time it may be necessary to suspend access to the Services for a period of time for maintenance, or any other reason we deem necessary or desirable and any such interruptions shall not constitute a breach by us of these Terms.

Use of the Services

Except as expressly set out in these Terms or as permitted by any local law, you will not, for any reason or at any time:

  • copy, rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Product;
  • make alterations to, or modifications of, the whole or any part of the Product, or permit the Product or any part of it to be combined with, or become incorporated in, any other programs;
  • disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the Product or attempt to do any such thing;
  • use the Product or any Service in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these Terms, or act fraudulently, maliciously, dishonestly or misleadingly, whether such consequence was intended or merely incidental, including impersonating any other person whether or not that other person is a user of the Services or setting up multiple user or donor accounts to mimic a referral to a third-party or a higher number of individual donations, with the consequence of a charity unfairly benefitting from our matching service or other available benefits;
  • do anything to suggest, express or imply that statements made by you are endorsed by us;
  • infringe our intellectual property rights or those of any third party in relation to your use of the Product or any Service;
  • transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the Product or any Service;
  • upload any files or post or publish anything on the Services that contains viruses, corrupted files, or malicious code or any other similar software or programs that may damage the operation of the Platform or any user’s device or otherwise damage, disable, overburden, impair or compromise our systems or security or interfere with other users; and
  • collect or harvest any information or data from any Service or our systems or attempt to decipher any transmissions to or from the servers running any Service.

Any content posted or published by you using the Services will be your personal responsibility. You will be personally liable for claims relating to negligence, defamation, breach of intellectual property, privacy or any other claim arising from content you post.

We reserve the right at our discretion to remove any content from the Services, terminate your registration and restrict your access to our services at any time for any reason.

In the event that you are informed that you will no longer be entitled to access the Platform you will not be entitled to register again and you will no longer have permission to use the Services.

If you come across any offensive, inaccurate or damaging material on the Platform or if you are subject to any form of abuse or harassment we ask that you contact us immediately.

If we have reason to believe that there is likely to be a breach of security or misuse of the Services through your registration, subscription or otherwise through the use of your password, we may notify you and require you to change your password with us, or we may suspend your use of the Platform until you have done so. Until you have changed all your passwords or we have re-authorised your use, you will not be able to access the Platform.

You are not entitled to allow any other person to use or borrow your login details or password, each additional user must use and register for the Platform separately. Each individual is only entitled to create one single user account.

Notice and Take-Down

We will make all reasonable efforts to delete accounts which are being used in breach of our Terms and to identify and remove content that is defamatory or infringing on intellectual property rights or otherwise in breach of our media policies when we are notified but we cannot be responsible if you have failed to provide the relevant information.

In the event that you believe that an account is being used in an inappropriate manner or that any content which is distributed using the Services is defamatory or infringing on intellectual property rights you should notify us in writing either by email to contact@givematch.com including the following:

  • Your full name and contact details, including postal address, telephone number and e-mail address;
  • The location where the defamatory or infringing content appears;
  • The content that you believe is defamatory or infringing on intellectual property rights;
  • The reasons that you believe the content is defamatory or infringing on intellectual property rights;
  • A statement confirming that you are authorised to act on behalf of the claimant or rights holders; and
  • A signed declaration of truth in respect of the information in the notice.

Any statement made under this clause may be used in court proceedings.

Advertising and Commercial Use

Users of the Services are not entitled to directly advertise to or solicit the custom of other users without our express written consent.

You are not entitled to resell or commercially exploit the contents of the Services. You are not entitled to use any data mining, robots, or similar data gathering and extraction tools to collect user names, e-mail addresses or any other data for the purposes of sending unsolicited e-mail or for any other use.

PART 4 - LEGAL TERMS

This Part 4 applies to all users of the GiveMatch service, whether they are charities, individual donors, corporate donors, agencies, partners or otherwise doing business with Givetree Limited.

All other conditions, warranties or other terms implied or incorporated into this Agreement whether by statute, common law or otherwise, are hereby excluded to the extent legally permissible, including the implied conditions, warranties or other terms as to satisfactory quality, or fitness for purpose. 

Limits of liability

Our total liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Agreement, will never exceed the total sum of the fees you have paid to use the Services in the preceding period of 12 months (such period ending on the date the circumstances giving rise to our purported liability arose) or £5000, wherever is the greater. Where such a limitation of liability is not permitted by Applicable Laws, GiveMatch’s liability in such instances will be limited to the greatest extent permitted.

In no event will GiveMatch be liable for special indirect or consequential losses including but not limited to loss of profits, exemplary or special damages, loss of sales, loss of donations, loss of Gift Aid, loss of revenue, loss of goodwill, loss of any software, loss of or waste of management or other staff time.

Nothing in this Agreement limits any liability on account of death or personal injury resulting from a party’s negligence or wilful misconduct; or which cannot legally be limited, including liability for death or personal injury. 

We may select partners to display or promote to you when you use the Services. We are not responsible for any of the information or services offered by such partners. If you choose to follow a link to another website which is displayed to you when using the Services, you do so at your own risk.

Intellectual property

The following definitions will apply for the purposes of this paragraph and the Agreement: 

Intellectual Property Rights: patents, utility models, rights to inventions, copyright and related rights, trademarks and service marks, trade names and domain names, rights in get-up, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to preserve the confidentiality of information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered, including all applications for (and rights to apply for and be granted), renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist, now or in the future, in any part of the world; 

Each Party will remain the owner of full legal and beneficial title to all Intellectual Property Rights owned or controlled by them as at the date of this Agreement and any Intellectual Property Rights conceived or created by or on behalf of them during the course of this Agreement. Any Intellectual Property Rights which the parties agree have been jointly created will be jointly owned and cannot be used or dealt with without the prior written approval of the other Party.

The Parties each grant the following fully paid-up, revocable, non-exclusive, non-assignable, non-transferable, royalty-free licences:

  1. GiveMatch grants the Charity a licence to use the GiveMatch name and logo; and
  2. the Charity grants GiveMatch a licence to use its trademarks,

on its website, social media and in its marketing materials for the purpose of fulfilling their obligations under this Agreement or illustrating the types of partners they work with.

You agree not to do, or cause or authorise anything to be done which will or may impair, damage or be detrimental to the reputation, goodwill or value associated with GiveMatch’s reputation, goodwill or Intellectual Property Rights.

Compliance

The following definitions will apply for the purposes of this paragraph and the Agreement: 

Applicable Laws means all applicable laws and regulations as amended from time to time including but not limited to the Charities Act 1992, the Charitable Institutions (Fund-Raising) Regulations 1994 (SI 1994/3024), the Data Protection Legislation; the Computer Misuse Act 1990; the Bribery Act 2010; the Equality Act 2010; the Modern Slavery Act 2015; and the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code) and Fundraising Regulator’s Code of Fundraising Practice.

In performing its obligations under this Agreement, each Party will comply with all Applicable Laws and will provide such assistance as may be reasonably required to ensure the other Party is able to comply with its duties from time to time.

GiveMatch will not undertake any Professional Fundraising on behalf of the Charity for the purposes of the Charities Act 1992. Please note that the Services are strictly to assist in the marketing of a wide range of charities which are open to public donations to willing donors, and allow such donations to be made via our third-party DAF partners or directly to the relevant charity. We do not recommend or advise donors on which charity or organisations donations should be made to, and nor do we handle or control donations at any time. For the avoidance of doubt, GiveMatch therefore confirms that they are not a Professional Fundraiser for the purposes of the Charities Act 1992.

You will indemnify GiveMatch against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred by GiveMatch arising out of or in connection with breach of this “Compliance” Clause.

Data protection

When you register with the Services we will ask for some of your personal information. Any personal information you provide us with will be handled in accordance with our Privacy Notice which can be seen here: Privacy Notice.

Breach & Termination  

If a Charity is deemed to be in breach of these Terms, or our Services Agreement with them, at any time, any donations made to it will be redirected to the Match Pot and made available to other Charities.

Without affecting any other right or remedy available to it, GiveMatch may terminate this Agreement on 30 days written notice for any reason, or with immediate effect by giving written notice, if:

  1. you fail to pay any amount due under this Agreement on the due date for payment and remain in default not less than 30 days after being notified in writing to make such payment;
  2. you commit a material breach of any other term of this Agreement which breach is irremediable or (if such breach is remediable) fail to remedy that breach within a period of 7 days after being notified to do so; and
  3. You are unable to pay your debts as they fall due, or enter into or are reasonably likely to enter into receivership, insolvency, liquidation, a voluntary arrangement with its creditors or any analogous process.

Any provision of this Agreement that expressly or by implication is intended to come into or continue in force on or after termination or expiry of this Agreement will remain in full force and effect.

Termination or expiry of this Agreement will not affect any rights, remedies, obligations or liabilities of the Parties that have accrued up to the date of termination or expiry, including the right to claim damages in respect of any breach of the Agreement which existed at or before the date of termination or expiry.

On termination for any reason, each Party will immediately cease providing any services or conducting any activities governed by this Agreement and will, within 30 days of termination becoming effective, pay any undisputed sums due to the other Party.

General

Entire Agreement. This Agreement contains the whole agreement between the Parties relating to the Services and supersedes all prior understandings between the Parties. You acknowledge that, in entering into this Agreement, you do not rely on any statement, representation, assurance or warranty of GiveMatch or any person other than as expressly set out in this Agreement. 

Severance. If a provision of this Agreement is held to be void, invalid, illegal or unenforceable, that provision is to be construed as narrowly as necessary to allow it to be valid or enforceable, failing which, that provision (or that part of that provision) will be severed from this Agreement without affecting the validity or enforceability of the remainder of that provision or the other provisions of this Agreement.

Third Party Rights. A person who is not a Party to this Agreement will not have any rights under the Agreements (Rights of Third Parties) Act 1999 to enforce any term of this Agreement, but this does not affect any right or remedy of a third party which exists, or is available, apart from that Act.

No partnership or agency. Nothing in this Agreement is intended to, or will be deemed to, establish any partnership or joint venture between any of the Parties, constitute any Party the agent of another Party, or authorise any Party to make or enter into any commitments for or on behalf of any other party. Each Party confirms it is acting on its own behalf and not for the benefit of any other person.

Force Majeure. Neither Party will be in breach of this Agreement nor liable for delay in performing, or failure to perform, any of its obligations under it if such delay or failure results from an event or circumstance beyond their reasonable control and that cannot, after the use of all reasonable efforts, be overcome. If the period of delay or non-performance continues for 2 weeks, the Party not affected may terminate this Agreement by giving 5 days' written notice to the affected Party.

Governing law and jurisdiction. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) will be governed by and construed in accordance with the law of England and Wales. The Parties irrevocably agree that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).

Our total liability to you arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall never exceed the total sum of the donations you have made using the Services in the preceding period of 12 months, such period ending on the date the circumstances giving rise to our purported liability arose.
